GENERAL
Sauber Space (“Sauber Space”) provides
-
cleaning services
-
handyman services
(“the Services”) to business clients.
​
The Services may consist of
-
contracted services delivered on a recurring monthly subscription basis, such as PRIME regular office inspections and CORE regular office cleaning (“ABO Services”),
-
one-off services delivered on demand, such as individual maintenance services or deep cleaning on demand (“OD Services”).
These Terms and Conditions apply between Sauber Space and the business client (“the Client”) who orders one or more of the Services from Sauber Space.

ABO Services may only be ordered through the signing of an agreement (the Agreement”).
​
OD Services may be ordered through signing of an agreement similar as ABO services but can also be ordered in a simpler process by contacting Sauber Space via email, WhatsApp or telephone and placing an order (“the Order”). Orders placed verbally, by email or via WhatsApp shall only become binding upon written confirmation from Sauber Space sent by email or WhatsApp.

The Agreement/Order, together with these Terms and Conditions and any accompanying appendices, constitute the entire agreement between Sauber Space and the Client governing the provision of the Services.
​
In the event of any contradiction between these Terms and Conditions and the Agreement/Order (including appendices), the Agreement/Order (including appendices) shall take precedence.
EXECUTION OF SERVICES
Performance of the Services
Services are performed according to the Agreement between the Client and Sauber Space. In the absence of specific instructions, work will be carried out in a professional and industry-standard manner. Sauber Space personnel or subcontractors must hold any required permits needed to perform the Services.

- Execution Time for PRIME
Inspections and handyman tasks are scheduled by Sauber Space with consideration for the Client’s day-to-day operations. The Client must inform Sauber Space in advance of any days during the month that are unsuitable e.g., due to conferences.
​
Work may be divided across several visits if required by organization, preparation, procurement, or the nature of the tasks.
Work may be performed before, during, or after the Client’s regular office hours.
​
If the contracted number of hours exceeds the required time in a given month, unused hours cannot be transferred to the following month.
​
Illness/Absence of Personnel
In the event of illness of the regular cleaner or handyman, Sauber Space will arrange a replacement within 48 hours on regular business days (weekends excluded).
​
Holiday Service Schedule
Cleaning services are not provided on December 24th (Christmas Eve) and December 31st (New Year’s Eve). No entitlement to replacement service or compensation arises from this.
​
Subcontractors
Sauber Space is entitled to engage subcontractors for the performance of the Services and remains fully responsible for service quality as if the work were performed by Sauber Space personnel.
​
CONTACT PERSON
The Client will be assigned a contact person at Sauber Space for reporting damage concerns, submitting complaints, and making orders or modifications to the existing Agreement.
​
Likewise, the Client must appoint a contact person to whom Sauber Space personnel may report issues such as property damage or operational concerns.
​
PREMISES AND CLEANING SUPPLIES
For cleaning services, the Client must provide a suitable lockable room for storage of cleaning supplies, as well as access to electricity and hot/cold water. Where no washing machine is available, additional laundry fees or the cost of eco-friendly disposable cloths will be charged.
​
The Client is responsible for the safe storage of supplies and ensuring that no one other than Sauber Space personnel uses them. If the Client does not meet these requirements, Sauber Space disclaims all responsibility for cleaning quality and any resulting damage caused by improper handling of chemicals.
​
INFORMATION RELATED TO THE PREMISES
Changes to the Object
Any changes within the premises, such as renovations that may affect cleaning services, must be communicated to Sauber Space at least 2 weeks before the start of the alteration and may require adjustment of the price or cleaning routine.
​
If the Client fails to inform Sauber Space, Sauber Space cannot guarantee cleaning quality and will adjust service delivery to the circumstances.
​
Sauber Space must also be informed in advance of the conclusion of long-term construction or renovation so that an inspection can be carried out before normal cleaning resumes. Additional time required to maintain the usual standard may be invoiced accordingly.
​
The Client must ensure that all areas included in the ordered service are accessible. If an area is inaccessible, the service will be omitted for that area without price reduction.
​
Any additional cleaning tasks outside the agreed instructions will only be performed after client approval. Orders for extra services must be placed via the designated contact person, by email or telephone—not through cleaning staff.
​
Changes to Client Information
Changes to billing or contact details must be communicated in writing by email to Sauber Space. Changes conveyed verbally to on-site staff or communicated in other ways are not accepted.
​
KEYS / ALARM / ACCESS CODES
If Services are carried out outside the Client’s presence, the Client must provide keys, access cards, and any necessary alarm codes.
Sauber Space ensures secure handling of keys and alarm information so that they cannot fall into unauthorized hands. If Sauber Space and the Client agree on alternative handling methods, this is at the Client’s own risk.

If the Client fails to communicate changes such as new access codes, alarm systems, or key replacements, Sauber Space is not responsible for missed service delivery or triggered alarms.
​
CONTRACT TERM
Binding Period
The binding period for Subscription Services is 6 months.
​
Ordinary Termination
Either Party may terminate this Agreement by written notice. The Agreement will end four (4) months after receipt of the notice, effective at the end of the respective calendar month.
​
Extraordinary Termination
If either Party materially breaches any provision of this Agreement or fails to remedy such breach within fourteen (14) days after receiving a written notice requesting remedy, the other Party may terminate the Agreement with immediate effect.
​
PRICE, FEES, AND INVOICING
Prices
All prices are quoted in Euro excl. VAT. The subscription price is valid only after a signed Agreement has been received by Sauber Space; until then, all delivered services will be invoiced as OD Services.
​
Prices and fees are stated in the Agreement/Order.
​
Subscription Services are invoiced monthly. OD Services are invoiced hourly or according to quote. Minimum charge is 2 hours per order.
- Travel fees
Sauber Space is entitled to charge a travel fee for OD handyman work.
​
No travel fee applies to Subscription Services.
Supplies and Materials
- Cleaning Services
Cleaning materials are billed separately as a flat-rate charge.
​
The Client must provide a vacuum cleaner, cleaning trolley and washing machine. If washing facilities are not provided, Sauber Space may charge a laundry fee.
​
Consumables are invoiced separately with a 10% handling fee.
​
- Handyman Services
Sauber Space has basic materials in stock such as screws, plugs, nails, adhesive, tape, cable ties. These are invoiced at cost price. No procurement trips are required for these.
​
Other materials required for handyman work are invoiced separately with a 10% handling fee. Procurement time may be invoiced if specific materials are needed and are not available on-site.
​
Additional Work
If the Client increases the scope of the Services during the contract period, or if Sauber Space must take unforeseen actions to fulfil its obligations, Sauber Space may charge for additional work. The same applies when incorrect client information or inadequate preparation makes normal performance impossible.
​
Price Adjustments
Prices at contract start remain fixed for 6 months.
Sauber Space may adjust prices based on changes in market conditions, wage levels, cost structures, legislation, taxes, or similar circumstances affecting service costs. Adjustments must be communicated at least 4 months in advance.
​
Payment Terms
Services are invoiced in arrears. Payment is due on the due date stated on the invoice, 30 days from invoice date unless otherwise agreed.
In case of late payment, Sauber Space is entitled to charge late-fee 40 EUR and reminder fees plus interest according to the German Civil Code (§288 BGB).
​
Any objections to invoices must be submitted no later than 14 days before the due date.
​
Cancellation
- Cancellation of OD Services

Cancellation more than 5 business days before the scheduled service: no charge

3 days before: 80%

Less than 3 days: full price
Cancellations and rescheduling must be submitted in writing via email or WhatsApp to the Client´s contact person in Sauber Space.
COMPLAINTS AND CLAIMS
Non-Performance
The Client shall not be invoiced for any Service that Sauber Space fails to perform, provided that the reason for such non-performance is not attributable to the Client.
​
Complaints
Complaints must be submitted via the Client Portal or by email to complaint@sauber-space.de with photos attached where relevant.
For cleaning services: Due to the constantly changing environment in which cleaning takes place, complaints must be submitted no later than 24 hours (excluding weekends) after the defect was or reasonably should have been discovered. Later complaints cannot be processed.
​
For justified complaints, Sauber Space will rectify the issue. If the issue cannot be remedied or persists despite corrective action, the Client may be entitled to a price reduction.
​
If issues are resolved within a reasonable time, no refunds or compensation will be granted.
​
If the Client rectifies the issue before Sauber Space is informed or granted access to the premises, no compensation will be provided.
INSURANCE
Sauber Space maintains a liability insurance (Haftpflichtversicherung) with DEVK, covering damages up to EUR 3,000,000.
​
Compensation for damage to property during the execution of Services is granted only if the Client can demonstrate that Sauber Space caused the alleged damage.
​
Sauber Space does not compensate damages arising from the Client providing incorrect or incomplete information regarding valuable or fragile items.
​
Sauber Space does not compensate for wear-and-tear on fixed or movable property such as fixtures, floors, or windows that occur during normal and responsible service delivery.
​
Sauber Space is liable only for direct damages that arises as a direct result of faulty performance. Sauber Space is never liable for indirect or consequential damages such as lost profit, lost income, or similar losses.
​
Damage caused by Sauber Space personnel through negligence will be addressed primarily through repair and secondarily through compensation corresponding to the damage.
​
The Client must inform Sauber Space about items that are broken, non-functional, or sensitive to standard cleaning processes or products.
FORCE MAJEURE
Events or circumstances outside Sauber Space’s reasonable control, including labor disputes, blockades, war, riots, fire, explosion risks, governmental actions or other external circumstances, releases Sauber Space from its contractual obligations for as long as the event persists.

AMENDMENTS TO TERMS
Sauber Space may amend or supplement these Terms and Conditions. Such amendments must be communicated to the Client at least one month before taking effect. Sauber Space may assign the Agreement to another company.
​
TERMINATION FOR CAUSE
If payment is not made on time or if the Client’s work environment is deemed unsafe or unsuitable, Sauber Space may suspend work and terminate the Agreement.
​
In the event of termination for cause due to non-payment, the Client shall be liable to pay liquidated damages amounting to 40% of all remaining contractually agreed fees until the end of the agreed contract term, but no less than the equivalent of three months’ fees calculated from the end of the current billing period.
​
This compensation includes costs arising from statutory notice periods that Sauber Space is legally required to observe.
​
The client retains the right to prove (Beweisvorbehalt) that no or lower damage has occurred. Our right to claim higher actual damages remains unaffected (Nachweisklausel).
​
DISPUTES
Disputes that cannot be resolved through negotiation shall be settled by the courts of Munich, Germany, where Sauber Space has its registered seat.
​
DATA PROTECTION
By placing an Order, the Client agrees to Sauber Space’s Data Protection Policy, available at www.sauber-space.de.
