General terms and conditions FOR BUSINESS CLIENTS

SCOPE AND DEFINITION
Sauber Space (“Sauber Space”) provides cleaning and handyman services (“Services”) to business clients (the “Client”).
Services may be provided as recurring subscription services (“ABO Services”) or one-off on-demand services (“OD Services”).
These Terms and Conditions together with the applicable Agreement or Order constitute the entire Agreement between Sauber Space and the Client.
In the event of contradiction between these Terms and Conditions and the Agreement or Order, the Agreement or Order shall prevail.
ORDERS
ABO Services may only be ordered through the signing of an Agreement (“Agreement”).
OD Services may be ordered by contacting Sauber Space via email, WhatsApp or phone and placing an Order (“Order”). Orders shall only become binding upon written confirmation from Sauber Space by email or WhatsApp.
Clients with an active ABO Service may, apart from via email, WhatsApp or phone, also order OD Services through the Client Portal.
Orders submitted through the Client Portal become binding upon submission.
SERVICES
Services are performed according to the Agreement or Order and generally accepted professional standards.
Sauber Space retains discretion regarding staffing, scheduling, methods, work sequence and operational planning necessary for the professional execution of the Services.
Sauber Space is entitled to engage subcontractors and remains responsible for the Services performed by subcontractors.
CLIENT OBLIGATIONS
The Client shall appoint a contact person for operational communication, complaints, approvals and additional Orders.
The Client shall designate a billing contact responsible for receiving invoices and payment-related communications. The Client remains responsible for payment of invoices regardless of internal personnel changes or forwarding failures.
Sauber Space may rely on instructions, approvals and Orders given by persons reasonably appearing to be authorised by the Client at the premises or through the Client's communication channels, unless the Client has communicated written restrictions regarding such authority.
Changes to billing details, contact information or access arrangements shall be communicated in writing.
If Services are carried out outside the Client’s presence, the Client shall provide necessary keys, access cards and alarm information.
Sauber Space shall handle access information securely and is not responsible for missed Services or triggered alarms caused by incorrect or outdated access arrangements.
CLEANING SERVICES
Cleaning materials are billed separately according to the applicable price list.
Consumables are invoiced separately. Applicable handling fees are charged according to the current price list.
Handling fees cover procurement, administration, coordination, storage, financing, transport and return handling related to purchased materials.
The Client shall provide suitable storage space, electricity, water, washing facilities and necessary cleaning equipment. Sauber Space is entitled to charge laundry fees if washing facilities are unavailable.
The Client shall ensure that all service areas remain accessible. Areas that are inaccessible will be omitted without price reduction.
Changes affecting the Services shall be communicated in advance and may require adjustment of the service scope, routines or pricing.
Additional cleaning tasks require approval from the Client’s designated contact person and shall not be ordered directly through cleaning staff.
In the event of illness of the regular cleaner, Sauber Space will arrange replacement personnel within 48 hours on regular business days.
Services on December 24th and December 31st require prior Agreement and remain subject to operational availability.
HANDYMAN SERVICES
PRIME inspections and handyman tasks are scheduled according to operational requirements. The Client shall inform Sauber Space in advance of operational restrictions affecting scheduling. Work may be divided across several visits and may be performed outside regular office hours.
Unused PRIME hours may be accumulated in a time bank up to a maximum balance corresponding to three (3) months of the contracted PRIME hours. Hours exceeding this limit expire automatically at the end of the respective month. Accumulated PRIME hours may be used for handyman services covered by PRIME but not for painting services unless otherwise agreed in writing.
The Client shall provide safe and suitable working conditions, including access to electricity, lighting, heating, water and unobstructed work areas.
Basic consumables carried by Sauber Space are invoiced at cost price. Other materials, procurement time and supplier visits may be invoiced separately.
Inspection and diagnostic Services constitute independent professional Services and are invoiced separately regardless of whether the proposed project proceeds.
PRICING AND PAYMENT
All prices are quoted in Euro excluding VAT.
OD Services are billed according to the current price list and remain subject to minimum charges and applicable arrival fees.
ABO Services are invoiced monthly according to the agreed contractual pricing.
Quotations and time estimates are non-binding unless explicitly agreed otherwise in writing.
Sauber Space is entitled to invoice travel time, waiting time, procurement time, supplier visits, preparation work, partially completed Services and other operational expenses related to the Services.
Billable working time includes preparation work, loading and unloading, setup, internal transportation, coordination, cleanup, documentation and other work reasonably required for the execution of the Services.
For time-based Services, time records maintained by Sauber Space shall be considered accurate unless demonstrably incorrect.
Sauber Space is entitled to invoice arrival fees. Arrival fees cover operational and logistical costs related to the visit, including vehicle costs, parking, transportation of tools and materials, loading, unloading and general visit coordination.
Travel time may be invoiced according to the applicable price list.
Handling fees apply according to the applicable price list.
Additional costs arising from incorrect, incomplete or changing client information may be invoiced separately.
Amendments, scope changes and additional work requested by the Client or persons present at the premises may be invoiced accordingly unless such authority has been restricted in writing.
Prices for ABO Services remain fixed for 6 months.
Sauber Space is entitled to adjust prices due to changes in wages, operating costs, legislation, taxes or similar circumstances affecting the Services. Adjustments shall be communicated at least 4 months in advance.
No charges shall apply for Services not performed unless the non-performance is attributable to the Client.
ABO Services are invoiced in arrears. ABO Services are payable within 14 days from the invoice date.
OD Services are payable within 7 days from the invoice date.
Invoice objections shall be submitted in writing within 14 days after receipt of the invoice.
Undisputed invoice amounts remain payable.
The Client is not entitled to withhold, reduce or offset payments unless counterclaims are undisputed or legally established.
In case of late payment, Sauber Space is entitled to charge a late payment fee of 40 EUR and reminder fees plus interest according to the German Civil Code (§288 BGB).
CONTRACT TERM
The minimum contract term for regular office cleaning Services is twelve (12) months.
For other ABO Services, the minimum contract term is six (6) months unless otherwise agreed in writing.
Following the applicable minimum contract term, the Agreement shall continue indefinitely unless terminated. Either Party may terminate the Agreement by providing three (3) months’ written notice, provided that the Agreement cannot terminate before expiry of the applicable minimum contract term.
Any termination of the Agreement must be submitted in writing by email or signed letter.
Either Party may terminate the Agreement with immediate effect in the event of material breach if such breach is not remedied within fourteen (14) days after written notice.
COMPLAINTS
Complaints shall be submitted in writing with photos where relevant.
Complaints regarding cleaning Services shall be submitted within 24 hours after the defect was or reasonably should have been discovered.
Complaints regarding handyman or inspection Services shall be submitted within fourteen (14) days after completion of the Services.
Services shall be deemed fully accepted unless the Client submits a detailed written complaint within the applicable complaint period.
Minor deviations that do not materially affect usability or overall service quality do not constitute defects.
Sauber Space does not guarantee any specific technical, aesthetic or commercial result unless explicitly agreed in writing.
The Client shall grant Sauber Space reasonable opportunity to inspect and remedy alleged defects before reducing, withholding or offsetting payment.
If defects are remedied within a reasonable timeframe, no refunds or compensation shall be granted.
If defects cannot reasonably be remedied, the Client may be entitled to an appropriate price reduction.
No compensation shall be granted if the Client remedies the issue before Sauber Space has been granted opportunity to inspect the alleged defect.
LIABILITY AND INSURANCE
Sauber Space maintains liability insurance (Haftpflichtversicherung) with coverage up to EUR 3,000,000.
Sauber Space’s total liability arising out of or in connection with the Services is limited to the amount covered by the applicable insurance policy.
Liability for indirect damages, consequential damages, operational losses, business interruption, loss of profit, loss of data or reputational damages is excluded to the maximum extent permitted by law.
Sauber Space is liable only for direct damages caused by faulty performance and only where such damages are demonstrably attributable to Sauber Space.
Sauber Space is not liable for hidden defects, concealed damage, structural deficiencies, pre-existing defects, normal wear and tear, unsuitable conditions at the premises or damage caused by incorrect or incomplete client information.
Damage demonstrably caused by negligence of Sauber Space personnel shall primarily be remedied through repair and secondarily through financial compensation corresponding to the proven loss.
The Client shall inform Sauber Space about sensitive, defective or non-standard materials, surfaces or installations before the Services begin.
CANCELLATION
Confirmed OD Services and scheduled service visits may be cancelled or rescheduled free of charge up to five (5) business days before the scheduled start.
Later cancellations or rescheduling requests may be invoiced based on incurred costs and reserved capacity.
Cancellations and rescheduling requests must be submitted in writing via email or WhatsApp.
FORCE MAJEURE
Events or circumstances outside Sauber Space’s reasonable control, including illness, labor shortages, traffic disruptions, supplier delays, shortages of materials, labour disputes, governmental actions or similar circumstances, release Sauber Space from its contractual obligations for as long as the event persists.
TERMINATION FOR CAUSE
Sauber Space is entitled to suspend ongoing or future Services in the event of overdue invoices, denied access, unsafe working conditions, inappropriate conduct, repeated operational disruptions or other material breach of the Agreement by the Client.
Suspension does not release the Client from payment obligations.
In the event of termination for cause due to non-payment, the Client shall pay liquidated damages amounting to 40% of the remaining contractual fees until the earliest ordinary termination date, but no less than three (3) months’ fees.
The Client retains the right to prove that lower or no damages have occurred. Sauber Space retains the right to claim higher actual damages.
FINAL PROVISIONS
Sauber Space is entitled to amend or supplement these Terms and Conditions. Such amendments shall be communicated to the Client at least one month before taking effect.
Sauber Space is entitled to assign the Agreement to another company.
Disputes that cannot be resolved through negotiation shall be settled by the courts of Munich, Germany, where Sauber Space has its registered seat.
